Terms and Conditions
Effective October 19, 2026
These Terms and Conditions ("Terms") are an agreement between you and ScopeProof LLC ("ScopeProof," "we," "us"). They govern your use of the ScopeProof website, software, and services (the "Service"). By creating an account or using the Service, you agree to these Terms. If you use the Service for a company, you agree on its behalf and confirm you have authority to do so. If you do not agree, do not use the Service.
1. Who can use ScopeProof
The Service is for roofing contractors and their authorized staff, for business use. You must be at least 18 years old. You are responsible for holding any license or registration your work requires.
2. What the Service is, and what it is not
- ScopeProof is a documentation tool. It reads files you upload, compares an estimate with measurements, and drafts documents for you to review.
- Results are produced partly by automated and AI systems and can be incomplete or wrong. Every finding, quantity, code reference, material list, and draft is a starting point for your own review. You are solely responsible for checking it and for anything you send, submit, order, or install.
- Material orders are estimates based on measurements and typical packaging. Confirm all quantities, products and coverage with your supplier before ordering; we are not responsible for over- or under-ordering.
- Code and manufacturer information is provided for reference, may be out of date, and does not replace the current adopted code, local amendments, the building official, or the manufacturer's current instructions.
- ScopeProof does not provide legal, insurance, engineering, or public-adjusting services, does not represent homeowners or insureds, and does not negotiate claims. You are responsible for complying with laws that govern your communications with insurers, including Colorado law on contractors and public adjusters.
3. Your account
Keep your login credentials confidential. Accounts are for one named person and may not be shared, resold, or used by anyone else. You are responsible for activity under your account. Tell us right away at info@scopeproof.us if you think it has been accessed without permission.
4. Subscription and payment
- New accounts may use the Service on one claim free of charge. Further use requires an active subscription at the price and monthly claim allowance shown when you subscribe. Subscriptions renew automatically each billing period until canceled.
- A claim counts toward your allowance the first time a supplement check runs on it. Claims beyond your plan's monthly allowance are charged at the per-claim rate shown in the app, which you confirm before each one runs, and are added to your next invoice.
- You can cancel anytime; access continues to the end of the paid period. Fees already paid are not refundable, including for partial periods, unless the law requires otherwise.
- Payments are processed by Stripe. We may change prices with at least 30 days' notice; the change applies at your next renewal.
5. Our intellectual property
The Service and everything in it belong to ScopeProof LLC and its licensors, including the software and source code; the checking rules, formulas, calculations, and logic; the shingle-product, jurisdiction, and code catalogs and other data compilations; AI prompts, instructions, and workflows; document and letter templates; the design, text, and graphics; and the ScopeProof name and logo (together, "ScopeProof IP"). These are protected by copyright, trade secret, trademark, and other laws. Except for the limited license below, no rights are granted to you.
License. While your account is in good standing, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for your own roofing business's jobs.
You agree not to, and not to help or allow anyone else to:
- copy, reproduce, modify, translate, or create derivative works of the Service or any ScopeProof IP;
- reverse engineer, decompile, disassemble, or otherwise try to discover the source code, rules, formulas, prompts, or logic of the Service, including by systematically testing inputs and outputs to work out how it works;
- scrape, crawl, harvest, or export data from the Service by automated means, or extract its catalogs, rules, or templates;
- use the Service, its outputs, or any ScopeProof IP to design, build, train, improve, or benchmark a competing product or service, or any AI or machine-learning model;
- sell, sublicense, rent, lend, share, or provide the Service to anyone else, including running it as a service bureau for other contractors;
- remove or obscure any ownership, copyright, or trademark notices;
- access the Service to monitor its availability, performance, or features for competitive purposes, or disclose non-public features or pricing; or
- bypass or interfere with security, usage limits, or access controls.
Confidential information. The non-public parts of the Service, including how it works, its rules, catalogs, and prompts, are our confidential information. Keep them confidential and use them only to use the Service.
Feedback. If you send suggestions or feedback, we may use them for any purpose without obligation to you, and you assign to us any rights you have in them.
Enforcement. A breach of this section would cause us irreparable harm. In addition to any other remedy, we may seek an injunction or other equitable relief without posting a bond, and we may suspend or terminate your access immediately. You will be responsible for our reasonable attorneys' fees and costs in enforcing this section.
6. Your content
- You keep ownership of the files, photos, notes, and information you upload ("Your Content"). You give us permission to store, process, and transmit Your Content, and to send it to our service providers, only to run the Service for you.
- You confirm you have the right to upload Your Content, including any homeowner or insurer documents, and that doing so doesn't violate anyone's rights or any agreement.
- You may use the documents the Service generates for you (findings, drafts, material orders) in your own jobs. This does not give you any rights in the ScopeProof IP used to produce them.
- We may use de-identified, aggregated data about use of the Service to operate and improve it.
7. Acceptable use
Don't use the Service to break the law; to submit false, inflated, or fraudulent claims or documents; to upload malware; to harass anyone; or to upload information you don't have the right to share.
8. Third-party services
The Service relies on third parties, including hosting, email, payment (Stripe), and AI providers. We aren't responsible for their services, and their terms may also apply.
9. Disclaimers
THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY SUPPLEMENT, RESPONSE, OR ORDER WILL BE ACCEPTED, PAID, OR CORRECT.
10. Limitation of liability
TO THE FULLEST EXTENT THE LAW ALLOWS, SCOPEPROOF LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR CLAIM PAYMENTS, EVEN IF ADVISED OF THEIR POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
11. Indemnity
You will defend and indemnify ScopeProof LLC and its owners and staff against claims, losses, and costs (including reasonable attorneys' fees) arising from Your Content, your use of the Service or its outputs, documents you send or work you perform, or your breach of these Terms.
12. Suspension and termination
You can stop using the Service and cancel at any time. We may suspend or end your access if you breach these Terms, if required by law, or to protect the Service or other users. Sections 5, 6 (last two points), and 9 through 14 survive termination.
13. Governing law and disputes
These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law rules. Any dispute will be brought exclusively in the state or federal courts located in Jefferson County, Colorado, and you consent to their jurisdiction.
14. Changes and general terms
We may update these Terms. If a change is material, we'll notify you by email or in the Service at least 15 days before it takes effect; continuing to use the Service after that means you accept the change. These Terms, together with the Privacy Policy, are the entire agreement between us. If any part is unenforceable, the rest stays in effect. You may not assign these Terms without our consent. Our failure to enforce a provision is not a waiver.
